About The Role

WEG has an excellent opportunity for an Associate General Counsel here in our Duluth office. You will be responsible for facilitating commercial contracts to promote growth for assigned business units while mitigating risks in accordance with WEG policies and procedures, and for exercising sound judgment in escalating matters to the General Counsel or senior management. The AGC must build and maintain strong professional relationships with business leaders, other internal clients, and Legal Team members. Principal functions include contract review & negotiation, assessment and proper communication of legal risks, and working proactively to promote solutions that manage risk and accomplish business objectives. The AGC puts an emphasis on customer-focused solutions and drives operational excellence in the delivery of legal and compliance services.

Primary Responsibilities

  • Serve as primary commercial counsel for assigned business units.
  • Ensure compliance of assigned business units with WEG policies relating to risk management, contracting, and regulatory requirements.
  • Partner with internal customers while maintaining an overriding commitment to conformity with Company policies, contracting guidelines, and established processes.
  • Forward disputes, investigations, and other non-commercial matters to the General Counsel promptly.
  • Advise business unit leaders on a broad range of commercial and compliance matters and report timely on such matters.
  • Draft, review, and negotiate commercial agreements, nondisclosure agreements, service agreements, and other contracts (sell-side and buy-side).
  • Highly responsive to legal requests, with excellent communication about timelines, deliverables, and circumstances of each transaction or matter.
  • Contribute upon request in the development of Legal Team policies and procedures, templates, and training, and proactively identify areas for improvement and/or risk mitigation.
  • Build and maintain an understanding of the manufacturing industry and the laws that affect the Company, with a focus on compliance and commercial law.
  • Escalate concerns to the General Counsel as appropriate.
  • Energy and Public Utilities experience a plus

Education

  • J.D., with active license in at least one U.S. state.

Knowledge / Training

  • Contract review, drafting, & negotiation (with emphasis on contract law).

Experience

  • 5+ years of relevant experience in reputable law firms and/or in-house legal departments, including significant contract review, drafting, and negotiation.
