We are committed to adding direct value in the business of insurance and help our clients to embrace change, accelerate innovation, and achieve meaningful business outcomes.Opportunity The Corporate Legal Counsel serves as the organization’s on-site legal advisor, providing legal guidance across all areas of the business. This role partners closely with the General Counsel and legal team, as well as the executive leadership to enable informed decision-making by the business teams, manage legal risk, and support the company’s growth objectives within the US. The Legal Corporate Counsel manages legal matters related to business transactions, corporate transactions, regulatory compliance, contracts, governance, and dispute resolution, ensuring the organization operates within legal and ethical standards.What You’ll Be DoingAct as a trusted legal advisor to senior leadership on strategic business initiatives, corporate transactions, and enterprise risk.Provide legal counsel on a broad range of matters, including commercial contracts and negotiations, regulatory and compliance issues, corporate governance and board mattersDraft, review, and negotiate complex agreements and legal documents.Interpret laws, regulations, and policies to ensure organizational compliance and mitigate legal exposure.Partner cross-functionally with Finance, HR, Operations, and other stakeholders to support business objectives.Manage external counsel and legal vendors as needed.Contribute independently to moderately complex legal projects while collaborating on broader enterprise initiatives.What You BringJuris Doctor (JD) from an accredited law school.5-10 years of relevant corporate legal experience, preferably in-house supporting commercial contracts and negotiations, regulatory and compliance issues, and corporate governanceStrong knowledge of corporate law, contracts, regulatory compliance, and business transactions.Demonstrated ability to provide practical, business-oriented legal advice.Excellent negotiation, communication, and stakeholder management skills.What You Can Expect from UsA collaborative, entrepreneurial environment where your ideas drive changeOpportunities to work with cutting-edge technologies and a worldwide network of insurance expertsA culture rooted in teamwork, integrity, continuous learning, and client successEEO StatementXceedance provides equal employment opportunity to all individuals regardless of their race, color, creed, religion, gender, age, sexual orientation, national origin, disability, veteran status, or any other characteristic protected by state, federal or local law.
