investment management associates role

What we're looking for:

We need someone with 3-7 years of experience in registered investment company work who has substantive hands-on experience with the Investment Company Act of 1940 and the Investment Advisers Act of 1940. You should be comfortable drafting registration statements, offering documents, board materials, and investment management agreements, and have a track record of advising registered funds (mutual funds, ETFs, BDCs, tender offer funds, interval funds) and their advisers. Bonus points if you have depth in ETF structures, corporate governance for funds, or public/private BDC work.

What you'll do:

• Prepare and review registration statements and offering documents for registered investment companies
  
• Draft and review board meeting materials and advise on corporate governance for funds and fund boards
  
• Draft and negotiate investment management agreements and related fund documents
  
• Advise clients on compliance with the federal securities framework governing registered funds and investment advisers
  
• Work across all partners in the Investment Management group on sophisticated, structurally novel fund matters — including first-of-kind hybrid fund structures, closed-end fund IPOs, and dual share class structures
  
• Counsel registered fund complexes, sponsors, and institutional market participants on formation, growth, and regulatory risk
  

Key details:

• 
  
• Billable target: 1,900 hours (with up to 50-100 pro bono hours credited toward the target)
  
• All associates are staffed firm-wide across all group partners — broad exposure, no single-partner dependency
  
• This is a plug-and-play role; candidates must have existing registered funds experience (private-funds-only backgrounds will not qualify)
  
• Hybrid schedule: in-office three days per week
